1. Scope

These General Terms of Sale ("GTS") govern any sale of a motor vehicle, new or used, by Carmony SARL-S (hereinafter "the Seller" or "Carmony") to any natural or legal person (hereinafter "the Buyer" or "the Customer").

Any order entails unreserved acceptance of these GTS. Any contrary condition set by the Buyer shall, in the absence of express written acceptance by Carmony, be unenforceable.

2. Quote and order form

2.1 Quote

Each quote is issued based on information provided by the Buyer. Its validity is limited to 30 days from issuance, unless otherwise stated.

2.2 Order form

The order becomes final once the order form is signed by both parties (simple electronic signature — art. L.222-1 of the Luxembourg Consumer Code) and the deposit is paid.

The order form includes: vehicle designation (make, model, trim, VIN, mileage), price including VAT, deposit, balance, expected delivery date, any equipment and options.

2.3 Amendment

Any amendment after acceptance must be subject to a signed addendum. Carmony reserves the right to revise the price in the event of a substantial change (engine, trim, equipment).

3. Price and VAT

Prices are expressed in euros, all taxes included, Luxembourg VAT at the legal rate in force (17% since 1 January 2024).

For eligible used vehicles, Carmony applies the profit margin scheme (Law of 12 February 1979 as amended, Art. 56 ter). VAT is not mentioned separately on the invoice in this case, in accordance with regulations.

For intra-EU B2B sales with a valid EU VAT number (VIES check), the reverse charge mechanism applies (Art. 138 Directive 2006/112/EC).

4. Deposit and payment

4.1 Deposit

A minimum deposit of 10% of the price including VAT is required upon signature of the order form. This deposit is definitively retained by Carmony in case of withdrawal by the Buyer, except in cases of duly justified force majeure.

4.2 Balance

The balance is payable no later than at vehicle delivery, by bank transfer, credit card or financing (lease, long-term lease, car loan). No vehicle is handed over without full payment.

4.3 Cash payment

In accordance with the Law of 12 November 2004 as amended on anti-money laundering and counter-terrorist financing (AML/CFT), any cash payment equal to or exceeding EUR 10,000 can only be accepted if the Customer's KYC file has been validated.

5. Delivery

The delivery date is indicative. Any delay shall give rise to neither cancellation, price reduction nor damages, except for unjustified delays exceeding 60 days.

Delivery takes place at our premises in Lamadelaine, unless otherwise agreed in writing for on-site delivery (additional charges). On delivery, the Buyer signs a handover record certifying the vehicle's conformity.

Any apparent defect (scratch, impact, missing equipment) must be reported immediately and noted in the handover record. No subsequent claim for apparent defects will be admissible.

6. Trade-in

The trade-in estimate is valid for 15 days. It is subject to the vehicle's conformity with the description provided by the Buyer (accurate mileage, no undisclosed accident history, condition matching the description). In case of discrepancy, Carmony reserves the right to revise the estimate or refuse the trade-in.

The Buyer warrants to be the unencumbered owner of the trade-in vehicle and undertakes to provide: registration certificate, certificate of non-pledge, valid technical inspection, second set of keys, service book.

7. Warranties

7.1 Statutory conformity warranty

In accordance with articles 1604 to 1649-19 of the Luxembourg Civil Code and Directive (EU) 2019/771, the Buyer enjoys the statutory conformity warranty for 2 years from delivery.

7.2 Latent defects warranty

Statutory warranty for latent defects (art. 1641 et seq. of the Civil Code) for the legal duration.

7.3 Carmony commercial warranty

In addition, Carmony may offer an extended commercial warranty (3, 12 or 24 months depending on the vehicle), the precise conditions of which are provided with the order form.

8. Transfer of ownership and risk

Title passes upon full payment of the price. Risk passes upon effective handover of the vehicle, evidenced by signature of the handover record. Until then, risk remains with Carmony.

9. Withdrawal

The Luxembourg Consumer Code does not grant a right of withdrawal for vehicle sales concluded at the dealership (in-person sale). Distance orders benefit from a 14-day withdrawal period, except where the vehicle has been customised at the Customer's request.

10. Personal data (GDPR)

Carmony processes the Buyer's personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the Luxembourg Law of 1 August 2018. The Privacy policy details the nature of processing, retention periods and Customer rights (access, rectification, erasure, portability, objection).

KYC documents are encrypted at rest with AES-256-GCM and retained for 5 years after the end of the commercial relationship (AML/CFT Law). Invoices are kept for 10 years (VAT Law of 19 December 2020).

11. Disputes and governing law

These GTS are governed by Luxembourg law. Any dispute falls under the exclusive jurisdiction of the courts of Luxembourg City. The consumer Buyer may, before any judicial action, refer the matter to the Consumer Mediation Service (Maison du Citoyen, 1 place Guillaume II, L-1648 Luxembourg).

12. Force majeure

Carmony shall not be liable for any contractual breach resulting from a force majeure event within the meaning of article 1148 of the Civil Code (disaster, conflict, pandemic, independent manufacturer failure, etc.).

These GTS are enforceable against any signatory of a Carmony order form. The customer acknowledges having read and accepted them without reservation prior to signing.
